Once you have received your incorporation documents from us, there are still a few things to do before you can start your business operations, depending on the structure of your company.
If you wish, we can help you with this so that you can meet all deadlines and get your business up and running quickly and efficiently.
Below we have compiled a checklist containing all the issues that you will need to deal with at the latest after setting up a company in Romania.
It goes without saying that we will inform you of all matters relating to the launch of your company during the initial consultation and during the formation process.
We will be happy to advise you on this.
Choosing a tax advisor in Romania
In Romania, it is mandatory for the accounting of an S.R.L. to be carried out by a tax advisor. Therefore, the choice of a good tax advisor should ideally be made during the company formation phase. We will be happy to put you in touch with a reliable Romanian tax consultant free of commission.
Setting up a Romanian bank account
A Romanian bank account is mandatory at the latest when the first payments have to be made to the ANAF (tax office). We recommend that you set up a private and a commercial bank account as soon as the company is founded and will be happy to accompany you to the bank appointment.
Hiring a Romanian employee
If you have chosen a corporate tax model for your SRL, you must hire a full-time employee within 30 days of the date of incorporation. We can help you find the right person and will be happy to advise you.
Apply for a VAT identification number
Once your company has been established, it is not initially subject to VAT. Ask your tax advisor to explain the advantages and disadvantages of VAT liability in Romania. If you decide to declare VAT, your tax advisor can immediately apply for a VAT ID number. This is particularly important if you work with international companies (EU) that are registered with an international VAT ID number. In this case, you will also need an international VAT ID number.
Setting up the online portal at the Romanian tax office (ANAF)
Romania is highly digitized and communication with the Romanian tax office (ANAF) takes place via a private space in the ANAF online portal. The portal should be set up by your tax advisor. For this purpose, he must prove that he is authorized by you. The contract that the tax advisor concludes with you is sufficient for this. Some tax advisors require a notarized power of attorney, which is unnecessary and involves additional costs.
Issue correct invoices
First of all, you should be aware that your invoices must be issued in accordance with the Romanian tax authorities and in the national language. There are clear rules and requirements for the structure of the letterhead. If you operate internationally, you will need software (possibly also Word or Excel) that displays all invoice information and items in two languages so that your customers understand the content. We will be happy to help you with the creation of invoice templates and the selection of suitable software.
Purchase of the control register
The control register is a document that must be displayed at the head office and each branch. It can be obtained from the competent tax office (ANAF) on presentation of the certificate of incorporation, the articles of association and a copy of the managing director's identity card. We will be happy to do this for you on request.
Marketing and sales
Depending on your business model, we can help you gain a foothold in the Romanian market quickly and efficiently. On the one hand, we have an excellent network and can help you find suppliers and sales partners. On the other hand, we are happy to help you with the creation of marketing and sales concepts, franchise concepts and all activities (e.g. legally compliant documents, translations) relating to a successful business.
